Grant of Share Options
Iofina plc, specialists in the exploration and production of iodine and manufacturers of specialty chemical products, announces that it has awarded, with effect from 27 April 2023, a total of 1,196,700 share option awards (the “April 2023 Options“). Each April 2023 Option is exercisable over one ordinary share of £0.01 each in the capital of the Company (“Ordinary Shares“) and is subject to the rules of the Company’s 2018 Stock Option Plan (the “2018 Option Plan“). The April 2023 Options represent approximately 0.62 per cent. of the current issued share capital of the Company.
The April 2023 Options will be exercisable at a price of £0.3175 per Ordinary Share (being the mid-market closing price of the Ordinary Shares on 27 April 2023), with 50 per cent. of the options vesting one year from the date of grant and the remaining 50 per cent. vesting two years from the date of grant (the “Vesting Conditions“). The April 2023 Options are exercisable at any time, following vesting, prior to (and including) the day falling on the tenth anniversary of grant. If an option holder leaves the Company, they will have a period of 90 days within which to exercise any vested options, failing which they will lapse.
The grant of the April 2023 Options, together with the grant of other options, under the 2018 Option Plan forms part of the Company’s long-term incentive arrangements designed to align the interests of shareholders and certain key members of the Company’s management team.
The total options granted over Ordinary Shares to Persons Discharging Managerial Responsibilities within the Company (each being a “PDMRs“) are detailed below. Further, an additional 120,000 April 2023 Options have been granted to non-PDMRs.
